Morgan Stanley’s many entanglements

Morgan Stanley announced this week that it had agreed to pay $1.25 billion to settle claims by the Federal Housing Finance Agency.

The agency had accused it of misleading Fannie Mae and Freddie Mac in the sale of mortgage-backed securities.

Ten months after the federal suit was filed, in September 2011, Morgan Stanley named Robert Herz to its board of directors.

Herz, a former partner of PricewaterhouseCoopers, had become a member of the Fannie Mae board before the federal claims.

So at the time of the settlement, he was a director of both the offending party and the victim.

For financial companies the size of Morgan Stanley, such entanglements - intentional or otherwise - are common.
